Terms & Agreements
Standard conditions of carriage, logistics services, customs brokerage, and enterprise multi-modal transport contracts executed by Matkel Transit Enterprise.
Scope of Application & Definitions
These Terms and Agreements govern all contractual arrangements, proposals, freight bookings, logistics services, multimodal transport operations, warehousing, and customs brokerage executed by Matkel Transit Enterprise ("Matkel", "Company", "we", "us") for and on behalf of the customer, consignor, or consignee ("Client", "Merchant").
By booking freight, tendering shipment, signing a Bill of Lading, receiving goods, or utilizing the Matkel digital platform, the Client unconditionally assents to be bound by these provisions without modification.
Freight Carriage & Route Discretion
Matkel acts as both an authorized freight forwarder and logistics coordinator. We reserve complete operational discretion regarding routes, carriers, transit hubs, modalities (air, sea, road, rail), and handling procedures necessary to expedite safe and verified transit.
- Estimated arrival dates and clearance times are reasonable projections and are not guaranteed time commitments unless expressly documented under our Priority Express SLA.
- Matkel is not liable for voyage alterations, rerouting, or delays arising from maritime weather events, port congestion, sovereign actions, or border restrictions.
Customs Clearance, Duties & Regulatory Compliance
The Client is strictly responsible for providing authentic, complete, and legally certified invoices, certificates of origin, import/export permits, and product descriptions required by the Ghana Revenue Authority (GRA), CEPS, port authorities, and foreign regulatory agencies.
All statutory tariffs, excise duties, inspection fees, port charges, demurrage, and customs penalties assessed on shipment are the sole liability of the Client and shall be reimbursed immediately upon invoicing.
Shipment Valuation, Transit Liability & Insurance
Unless the Client purchases Comprehensive Marine & Shipment Transit Insurance through Matkel prior to dispatch, our liability for loss, damage, or misdirection of goods is strictly governed by standard international conventions (Hague-Visby Rules, Warsaw/Montreal Convention, or CMR as applicable).
Client Warranties & Dangerous Shipment
The Client explicitly warrants that:
- All items are securely packed, marked, and labeled to withstand normal transport hazards.
- The shipment contains no prohibited, contraband, counterfeit, or undeclared hazardous goods under IMO/IATA regulations.
- Any hazardous or perishable shipment is declared in advance with valid Material Safety Data Sheets (MSDS).
Invoicing, Payment Terms & Possessory Lien
All freight charges, clearance fees, and operational surcharges are due upon presentation of invoice unless credit terms have been formally executed under an Enterprise Master Service Agreement.
Matkel holds a general and specific possessory lien upon all shipment and documents in our possession for all outstanding sums due from the Client.
Governing Law & Dispute Resolution
These Terms and Agreements shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of Ghana.
Any disputes that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the Commercial Division of the High Court of Ghana in Accra.
